Article IX, Section 2

Section 2. Number of Directors. The operation and administration of the Fund shall be the joint responsibility of nine (9) Directors appointed by the Employers and nine (9) Directors appointed by the Unions.

The nine Union Directors are to be appointed in the following manner:

1. Nine (9) Directors to be appointed by the Writers Guild of America, West.

The nine (9) Employer Directors are initially to be appointed in the following manner:

1. Six (6) Directors to be appointed by the Alliance of Motion Picture and Television Producers.
   
   
2. Three (3) Directors to be appointed by American Broadcasting Company, CBS Broadcasting, Inc. and National Broadcasting Company, Inc.

The Employers shall appoint an alternate Director for each Employer Director. The Unions shall appoint an alternate Director for each Union Director. Each alternate Director shall have authority to act as a Director hereunder as provided in Section 6 of this Article.
