SECOND AMENDMENT
TO
RESTATED AGREEMENT AND DECLARATION OF TRUST
WRITERS' GUILD-INDUSTRY HEALTH FUND

THIS AMENDMENT is made on June 29, 1999, by the Trustees of the Writers' Guild-Industry Health Fund, and amends the Restated Agreement and Declaration of Trust of the Writers' Guild-Industry Health Fund as follows:

Amend article VII, section 1, by making the present language section 1(a), and adding the following subsection (b):

(b) No suit for benefits or payment may be brought against the Health Fund after two years from the date the Trustees deny the claim.
